St1 Biokraft has signed an agreement to acquire Danish Bio Commodities (DBC), absorbing over 350 GWh of active production capacity and a 900 GWh development pipeline to establish a major operational footprint in Denmark. The strategic acquisition advances the company’s EUR 1 billion Nordic expansion plan, securing vital biomethane supply infrastructure to service the rapidly decarbonizing maritime, heavy transport, and industrial sectors.
Copenhagen and Oslo | June 30, 2026 – In a major consolidation move within the Nordic renewable energy sector, biomethane powerhouse St1 Biokraft has signed a definitive agreement to acquire Danish Bio Commodities (DBC). The transaction marks St1 Biokraft’s entry into Denmark, arguably Europe’s most mature biomethane market, and immediately injects more than 350 GWh of active production capacity into its portfolio, alongside a massive 900 GWh development pipeline.
The acquisition represents a vital stepping stone for St1 Biokraft as it scales up to meet the soaring demand for low-carbon fuels in the heavy transport, industrial, and maritime sectors.
Expanding the Footprint: The Transaction at a Glance
The deal absorbs a highly integrated player into St1 Biokraft’s expanding ecosystem. DBC has carved out a robust market share in Denmark through localized expertise spanning biomass sourcing, certificate trading, and technical operations.
The Asset Breakdown
- Production Facilities: The acquisition includes five production assets (four wholly owned, and a 25% equity stake in a fifth).
- Growth Pipeline: Six greenfield biomethane projects currently in development, representing approximately 900 GWh of future capacity.
- Commercial Capabilities: Direct integration of DBC’s established biomass sourcing networks and renewable certificate trading arms.
St1 Biokraft’s Rapidly Expanding Nordic Infrastructure (Post-Acquisition)
- Sweden & Norway: 12 active production and upgrading facilities
- Finland: 2 facilities under construction (via Suomen Lantakaasu JV)
- Denmark: 5 production assets + 6 greenfield projects (via DBC deal)
Strategic Significance for the Marine and Heavy Transport Sectors
For the shipping and heavy logistics industries, both under intense regulatory pressure from the EU’s FuelEU Maritime initiative and Corporate Sustainability Reporting Directive (CSRD), this acquisition secures a vital future supply corridor. Denmark’s advanced gas grid infrastructure allows for seamless injection and displacement of fossil fuels with high-purity biomethane (Bio-LNG and Bio-CNG).
“DBC brings an established local platform with an experienced team and Danish market expertise,” said Miika Johansson, CEO of St1 Biokraft. “Combined with our existing operations, this strengthens our ability to scale production, broaden our customer offering, and continue our growth in Denmark.“
Agriloop Synergy: The Role of Vestjyllands Andel
A key architect behind DBC’s success is agricultural cooperative Vestjyllands Andel, one of its founding shareholders. For Danish agriculture, biogas represents more than just energy, it is a critical circular economy tool for manure management and emission reduction.
Steen Bitsch, CEO of Vestjyllands Andel and Chairman of the Board of DBC, signaled that this exit is far from an abandonment of the sector “We believe St1 Biokraft is the right partner to take the company into its next phase of growth. We look forward to exploring opportunities to reinvest alongside St1 Biokraft and continue creating long-term value for our owners and for Danish agriculture.”
Mapping the Road to 2030
St1 Biokraft is currently executing a massive EUR 1 billion investment program targeting production and distribution networks across the Nordics. The company already operates 12 facilities across Sweden and Norway, targeting 750 GWh of production for 2026 alone—and manages a network of over 70 refueling stations and bus depots.
The DBC acquisition acts as a catalyst for St1 Biokraft’s mid-term corporate targets:
| Metric | Current 2026 Target | 2030 Corporate Horizon |
| Own Production | 750 GWh (Excl. DBC) | 3 TWh (3,000 GWh) |
| Total Biomethane Sales | Expanding via network | 6 TWh (6,000 GWh) |
The transaction remains subject to customary regulatory approvals from relevant competition and energy authorities.
Advisory Teams Capitalizing the Deal
Demonstrating the scale and complexity of the cross-border transaction, a heavy roster of international financial and legal institutions advised on the deal:
- For St1 Biokraft: ING (M&A), BAHR (Legal), EY (Financial and Tax), Niras (Technical), and Marsh (Insurance).
- For Danish Bio Commodities (DBC): Deloitte (M&A), Plesner (Legal), and PwC (Financial and Tax).
