Woodside Energy has successfully acquired 100% of OCI Clean Ammonia Holding B.V., securing its foothold in the burgeoning lower-carbon ammonia market. The acquisition encompasses OCI’s Clean Ammonia Project located in Texas, which is set to produce ammonia with significantly reduced lifecycle emissions. This milestone follows Woodside’s earlier announcement on August 5, 2024, regarding the agreement to purchase OCI’s 1.1 million tonnes per annum (Mtpa) Clean Ammonia Project.
Significance of Ammonia as a Low-Carbon Fuel
Ammonia is emerging as a critical player in the transition to low-carbon energy solutions. As industries seek to reduce greenhouse gas emissions, ammonia offers a viable alternative due to its ability to serve as a clean fuel for power generation, marine applications, and as an industrial feedstock. Woodside’s new project is poised to generate ammonia with less than 35% of the lifecycle emissions intensity compared to traditional, unabated ammonia production processes.

The potential applications are in power generation, marine fuels, and as an industrial feedstock, as it displaces higher-emitting fuels.” This reflects the industry’s growing recognition of ammonia’s potential to help meet decarbonization goals.
Growing Demand for Lower Carbon Ammonia
The global ammonia market is projected to undergo a significant transformation, with demand expected to double by 2050. Lower carbon ammonia is anticipated to account for nearly two-thirds of this demand, spurred by evolving decarbonization policies that may lead to premium pricing for cleaner ammonia solutions. This demand shift highlights the urgency for companies to invest in low-carbon technologies to stay competitive in the energy sector.
Project Development and Future Outlook
The Texas Clean Ammonia Project remains under construction, with the aim of starting ammonia production in 2025 and transitioning to lower-carbon ammonia by 2026. OCI N.V. will manage the construction phase until the project reaches provisional acceptance.
Woodside has committed approximately $2.35 billion in all-cash consideration for this acquisition, which includes capital expenditures required to complete the first phase of the project. Notably, 80% of this amount has already been paid, with the remaining 20% due upon project completion.
The initial phase of the project is expected to yield free cash flow starting in 2026, aligning with Woodside’s capital allocation framework targets. Furthermore, this acquisition marks a substantial advancement toward achieving Woodside’s Scope 3 investment and abatement goals, which are critical for the company’s sustainability commitments.
